1.1 These Terms & Conditions ("Terms") set out the basis on which Echoing Time Studios Ltd ("we", "us", "our") supplies ETS Climate Intelligence Systems products and services.

2. What these Terms cover
2.1 These Terms apply to orders for ETS products and services placed through this website or otherwise agreed with us in writing.

2.2 They cover, for example:
- ETS FCU units and related hardware
- software, dashboards and portals we make available to you
- subscriptions and related services
- pilots, trials and research projects where we agree to supply equipment or services.

2.3 Additional terms may apply to particular products, services or pilots. Where that is the case, we will make those terms available to you and they will form part of our agreement with you.

3. Your status
3.1 This website is currently operated as a development and enquiry site. Some products and services may be described as concepts, pre-launch or subject to pilot or engineering work.

3.2 We may not yet offer unrestricted consumer checkout or subscriptions. Where this is the case, any references to ordering, checkout or subscriptions are indicative only and do not constitute an offer to sell to the general public.

3.3 By placing an order or entering into a pilot or other agreement with us, you confirm that you are legally capable of entering into binding contracts and, where applicable, that you are acting in the course of your business or profession.

4. Information we provide
4.1 We aim to ensure that information on this website is accurate and up to date. However, details such as specifications, availability, pricing and features may change as ETS products and services are developed.

4.2 Any descriptions of performance, yields, environmental impact or similar outcomes are illustrative only. Actual results depend on many factors outside our control, including crop type, growing practices, environment and external conditions.

4.3 Nothing on this website constitutes technical, agricultural, legal or other professional advice. You should obtain appropriate advice where needed.

5. Orders, quotes and contracts
5.1 In many cases, you may first contact us to request information, register interest or obtain an estimated quote. Providing a quote or estimate does not oblige you to proceed, and does not oblige us to accept an order.

5.2 Where online checkout is available, the steps required to place an order will be explained during the process. You will have an opportunity to review and correct any errors before submitting your order.

5.3 Your order is an offer to buy products or services from us. We are not obliged to accept any order. A contract is formed only when we confirm acceptance (for example, by email or by dispatching products or activating services).

5.4 We may decline or cancel an order, for example if a product is unavailable, if there is an error in pricing or description, if we reasonably believe the order is fraudulent, or if we consider that the product or service is not suitable for the intended use.

6. Prices and payment
6.1 Prices, where shown, are in the currency indicated and may be shown inclusive or exclusive of applicable taxes. We will make clear whether prices include VAT or other taxes where relevant.

6.2 We may change prices at any time before your order is accepted. If we have already accepted your order, price changes will not affect that order, except where required by law.

6.3 Payment methods will be explained during the order process or in our written communications with you. You must provide accurate and complete payment information and ensure that you are authorised to use the chosen payment method.

6.4 If payment is not received or is reversed, we may suspend or cancel your order or access to services.

7. Delivery, installation and access
7.1 We will provide an estimated delivery or installation timeframe where applicable. These are estimates only and are not guaranteed.

7.2 Risk in physical products (such as ETS FCU units) will normally pass to you on delivery. Ownership will pass when we have received full payment, unless we agree otherwise in writing.

7.3 You are responsible for ensuring that the installation environment and any third-party equipment are suitable for the products and services you order. We may provide guidance, but you remain responsible for your own systems and infrastructure.

7.4 Some products or services may require internet connectivity, power, network access or other infrastructure. You are responsible for providing and maintaining these.

8. Use of ETS systems
8.1 ETS systems are designed to assist with environmental monitoring and control. They do not replace your own judgement or responsibilities as a grower or operator.

8.2 You are responsible for:
- configuring systems appropriately for your environment
- monitoring alerts, notifications and system status
- maintaining sensors, equipment and infrastructure
- complying with applicable laws, regulations and standards.

8.3 We do not guarantee particular agricultural, environmental or commercial outcomes. You should not rely solely on ETS systems for safety-critical decisions.

9. Subscriptions and ongoing services
9.1 Where we provide subscriptions or ongoing services (for example, access to dashboards, portals or data services), we will explain the scope, fees, billing periods and cancellation terms before you sign up.

9.2 Subscriptions will normally continue until cancelled in accordance with the applicable terms. We may change subscription features or fees from time to time, and will give you notice where required by law or by the applicable terms.

9.3 We may suspend or terminate access to subscriptions or services if you breach these Terms, fail to pay fees when due, misuse the services, or if we reasonably believe that continued provision would be unlawful or unsafe.

10. Faulty products and issues
10.1 If you believe a product is faulty or not as described, please contact us as soon as reasonably possible with details of the issue.

10.2 Your rights will depend on the circumstances, including whether you are a consumer or a business customer, how and when the product was supplied, and applicable law.

10.3 Nothing in these Terms is intended to exclude or limit rights that you have under consumer protection law where those laws apply and cannot be excluded.

11. Our responsibility for loss or damage
11.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

11.2 Subject to clause 11.1, we are not liable for:
- loss of profits, revenue, business, contracts or anticipated savings
- loss of data or corruption of data
- loss of goodwill or reputation
- indirect or consequential loss or damage.

11.3 Subject to clause 11.1, our total liability arising out of or in connection with any contract with you will be limited to the amount you have paid to us for the products or services giving rise to the claim.

11.4 We are not responsible for failures or delays caused by events outside our reasonable control, such as power outages, network failures, extreme weather, industrial action or changes in law.

12. Intellectual property
12.1 We (or our licensors) own all intellectual property rights in ETS systems, software, documentation, website content and related materials.

12.2 You are granted a limited, non-exclusive, non-transferable licence to use ETS software and services for your own internal purposes, in accordance with these Terms and any applicable licence terms.

12.3 You must not copy, modify, reverse engineer, decompile or create derivative works from ETS software or materials, except to the extent permitted by law.

13. Data protection
13.1 We handle personal information in accordance with our Privacy Policy.

13.2 Where you provide us with personal information about others (for example, staff or customers), you are responsible for ensuring that you have a lawful basis to do so and that any required information has been provided to them.

14. Changes to these Terms
14.1 We may update these Terms from time to time, for example to reflect changes in our products, services or legal requirements.

14.2 The version of the Terms that applies to your order will normally be the version in force at the time you place your order, unless we agree otherwise with you.

15. Governing law and jurisdiction
15.1 These Terms and any disputes or claims arising out of or in connection with them are governed by the laws of England and Wales.

15.2 The courts of England and Wales will have non-exclusive jurisdiction over any such disputes or claims.
